• Using the Services for any illegal, fraudulent, or unauthorized purpose
• Attempting to gain unauthorized access to our systems or networks
• Distributing malware, viruses, or other harmful code
• Engaging in activities that could damage, disable, or impair our Services
• Violating any applicable laws, regulations, or third-party rights
• Harassing, threatening, or intimidating other users or our staff
• Sharing login credentials or allowing unauthorized access to your account

When providing content or data for our services, you must ensure that such content:

• Does not infringe upon intellectual property rights of others
• Does not contain confidential information without proper authorization
• Complies with applicable data protection and privacy laws
• Does not contain harmful, offensive, or inappropriate material

You are responsible for providing accurate, complete, and up-to-date information necessary for the delivery of our Services. Any delays or issues resulting from inaccurate or incomplete information may affect project timelines and costs.

Successful delivery of our Services requires your active participation and timely responses to our requests for information, feedback, and approvals. You agree to:

• Designate appropriate personnel to serve as project contacts
• Provide timely feedback and approvals as requested
• Make subject matter experts available as needed
• Ensure access to necessary systems and data

You are responsible for ensuring that your use of our Services complies with all applicable laws, regulations, and industry standards relevant to your business and jurisdiction.

All intellectual property rights in our Services, including but not limited to software, documentation, methodologies, and proprietary processes, remain the exclusive property of Behailu AI Solutions LLC.

You retain ownership of your pre-existing intellectual property and data. By engaging our Services, you grant us a limited license to use your information solely for the purpose of delivering the agreed-upon Services.

Ownership of custom deliverables and work products will be specified in individual service agreements. Unless otherwise agreed in writing, custom developments created specifically for your use will be owned by you, while our general methodologies and frameworks remain our property.

Payment terms, fees, and schedules will be specified in individual service agreements or statements of work. Unless otherwise specified:

• Invoices are due within 30 days of the invoice date
• Late payments may incur interest charges at the rate of 1.5% per month
• We reserve the right to suspend services for overdue accounts
• All fees are non-refundable unless otherwise specified

Unless otherwise agreed, you will reimburse us for reasonable out-of-pocket expenses incurred in connection with providing Services, including travel, accommodation, and third-party software or services purchased on your behalf.

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Behailu AI Solutions LLC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption or downtime
• Loss of goodwill or reputation
• Any other intangible losses

Our total aggregate liability for any claims arising out of or relating to these Terms or our Services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

These Terms remain in effect while you use our Services. Individual service engagements will have their own specific terms and duration as outlined in separate agreements.

Either party may terminate ongoing service engagements in accordance with the terms specified in individual service agreements. We reserve the right to suspend or terminate your access to our Services immediately if you violate these Terms.

Upon termination, you must cease all use of our Services. Provisions that by their nature should survive termination (including confidentiality, intellectual property, and limitation of liability) will remain in effect.

These Terms are governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to conflict of law principles.

In the event of any dispute arising out of or relating to these Terms:

1. Direct Negotiation: The parties will first attempt to resolve the dispute through good faith direct negotiation
2. Mediation: If direct negotiation fails, the parties will attempt mediation through a mutually agreed mediator
3. Binding Arbitration: If mediation is unsuccessful, disputes will be resolved through binding arbitration in Maryland

Any legal proceedings that cannot be resolved through the dispute resolution process outlined above shall be brought exclusively in the state or federal courts located in Montgomery County, Maryland.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes acceptance of the modified Terms.

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect, and the unenforceable provision will be replaced with a valid provision that most closely matches the intent of the original.

These Terms, together with any specific service agreements or statements of work, constitute the entire agreement between you and Behailu AI Solutions LLC regarding the subject matter herein and supersede all prior agreements and understandings.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Neither party will be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative.
